Supplier Code of Conduct
Foryou Multimedia Electronics Co., Ltd. always takes innovation as the mission and strategic core, follows the values of "customer first, people-oriented; independent innovation, openness and inclusiveness", and adheres to the vision of "craftsmanship to build an outstanding brand", with the goal of becoming an internationally competitive enterprise. Foryou Multimedia Electronics Co., Ltd. always adheres to the honesty and trustworthiness, compliant operation, and is committed to creating value for the society through economically, environmentally and socially responsible business activities.
Foryou Multimedia Electronics Co., Ltd. selects and evaluates new and existing suppliers by considering not only economic factors, but also environmental protection, health and safety, human rights compliance, labour force, and anti-discrimination, anti-fraud and anti-corruption policies. Suppliers are partners of Foryou Multimedia Electronics Co., Ltd. and the co-operation between Foryou Multimedia Electronics Co., Ltd. and its suppliers needs to be based on a common understanding of ethical values and sustainable development practices.
In the Supplier Code of Conduct, we detail the expectations of Foryou Multimedia Electronics Co., Ltd. for suppliers, and all suppliers must be familiar with and comply with this Code.
The requirements and principles of this Code are an integral part of the contractual obligations and co-operation between each supplier and Foryou Multimedia Electronics Co., Ltd. Each supplier is obliged to comply with and support the following principles of this Code of Conduct and to organise relevant training for their employees on a regular basis. In addition, this Code of Conduct is fully applicable to suppliers and other third parties chosen by the suppliers to fulfil their contracts with Foryou Multimedia Electronics Co., Ltd. Therefore, suppliers must incorporate this Code of Conduct into their relevant contracts and ensure that their suppliers and other third parties are bound by the same obligations.
The term "supplier" in this guideline refers to any individual or entity that directly or indirectly provides raw materials, products or services to Foryou Multimedia Electronics Co., Ltd. This Code applies to all suppliers to Foryou Multimedia Electronics Co., Ltd. and suppliers should actively take action to ensure compliance with these requirements, thereby enhancing the overall image of the supplier itself and creating greater benefits. Foryou Multimedia Electronics Co., Ltd. encourages suppliers to go beyond the requirements of these codes of conduct. Ltd. reserves the right to interpret reasonable changes to this guideline and require suppliers to make the following commitments within the scope permitted by law:
1. Principle of legality
All actions, measures, contracts and other business activities of suppliers should strictly comply with relevant laws and regulations, including but not limited to: paying taxes in accordance with the law, complying with fair competition and antitrust laws, strictly prohibiting bribery and money laundering, complying with the existing technical standards, obtaining the necessary governmental licences, complying with the laws and regulations on export control, and respecting the third party laws as well as legal regulations on the protection of social and environmental standards. Suppliers are expected to similarly influence their supply chains to fulfil their social responsibility obligations. Where permitted by law, suppliers shall maintain records of compliance with applicable laws and regulations.
2. Social standards, labour rights and interests
2.1 Respect for Human Rights
Suppliers shall respect and actively protect internationally recognised human rights.
2.2 Prohibition of child labour
(1) Suppliers shall comply with all applicable local and national laws and regulations regarding minimum working age and shall not use child labour. In China, "child labour" refers to people under the age of 16; in other countries, the minimum working age shall be based on the requirements of relevant laws and regulations.
(2) Minor workers under the age of 18 shall not be engaged in work that may endanger their health or safety.
(3) Suppliers shall protect student or apprentice workers, especially underage workers who may be present, in accordance with applicable legal and regulatory requirements.
2.3 Elimination of forced labour and free choice of employment
(1) Suppliers shall employ employees on a voluntary basis, not use prison labour or slave labour, and shall not physically harm employees or perform any other form of forced labour.
(2) Suppliers shall not require employees to pledge original passports, identity papers, travel documents or other personal legal documents at the beginning of employment.
(3) Suppliers shall not use any forced labour, whether in the form of captive labour, bonded labour, indentured labour or otherwise; forced overtime is prohibited.
(4) Suppliers shall not detain employees or restrict their freedom of movement. Suppliers shall refrain from any form of forced labour.
2.4 Working hours
(1) Suppliers shall comply with all applicable laws and regulations relating to working hours and rest, and all overtime must be voluntary.
2.5 Compensation and Benefits
(1) Suppliers shall pay wages and provide benefits to all employees in accordance with the requirements of applicable laws and regulations in a fair and non-discriminatory manner.
(2) Suppliers shall ensure that all wages paid for hours worked meet at least the minimum legal wage or a relatively high local industry pay minimum.
(3) Suppliers shall pay overtime and bonuses as required by law.
(4) Suppliers shall pay all legally required benefits without unlawful deductions.
(5) Suppliers shall communicate verbally or in writing to all employees the wages, incentives, benefits, and bonuses they are entitled to receive under applicable law and at the work site.
2.6 Freedom of Association, Grievance Rights
(1) The Supplier shall respect the basic right of employees to form and join trade unions in accordance with their own free choice. and have the right to bargain collectively in a peaceful and lawful manner under applicable laws.
(2) Suppliers shall comply with all applicable laws regarding freedom of association and collective bargaining.
(3) Suppliers shall not harass, intimidate or retaliate against employees in connection with free association or collective bargaining.
(4) The supplier shall maintain the confidentiality of the employee's complaint.
(5) Membership in a trade union or employee representative body shall not be grounds for unreasonable and unfair treatment. Employees shall be given the right to bargain collectively and to strike for the purpose of regulating working conditions, in accordance with International Labour Organization conventions.
2.7 Equality of opportunity and fairness, cultural diversity, inclusive policies, co-development
Suppliers shall comply with ILO conventions and shall not tolerate any form of discriminatory behaviour, such as discrimination on the basis of colour, race, gender, age, nationality, social class, disability, sexual orientation, religious beliefs, ideology or political and trade union activities. Suppliers shall also not tolerate any form of harassment. Suppliers shall ensure that employees have the right to fair labour conditions. This includes fair standards of remuneration and social benefits that are at least in line with national and local government regulations, legal standards or those agreed in other labour agreements. The legal provisions on minimum wages in the respective countries shall be complied with, as well as the applicable regulations on working hours, rest periods and holidays.
(1) Suppliers shall not engage in physically, sexually, psychologically, verbally or otherwise injurious behaviour towards all employees. In addition, all employees shall be treated with respect and dignity. Supplier's terms of employment, including hiring, training, working conditions, compensation, benefits, promotions, discipline, contract termination or retirement, shall be based on the individual's qualifications, performance, skills and experience.
(2) Supplier shall ensure that the workplace does not discriminate on the basis of race, age, gender, class, political affiliation, religion, marital status, sexual orientation, disability, pregnancy, or any other basis unrelated to ability to perform the work, and shall endeavour to understand and implement policies of inclusion and advancement of common development.
(3) Suppliers shall comply with all applicable laws regarding discipline.
(4) Suppliers shall comply with all applicable laws regarding harassment and abuse.
2.8 Occupational Health and Safety
Suppliers shall, as a minimum, comply with national standards on workplace safety and hygiene and take appropriate measures to meet occupational health and safety requirements to ensure healthy working conditions. Suppliers shall consider establishing and improving an ISO 45001 occupational health and safety management system and take appropriate measures to fulfil the objectives of the management system.
2.9 Protection from eviction and dispossession of land
Suppliers shall refrain from any unlawful evictions and shall not unlawfully deprive themselves of land, forests and waters through illegal mergers and acquisitions, illegal exploitation or other unlawful means.
2.10 Prohibition of the use of private or public security forces
The Supplier shall not employ or use private or public security forces if, due to a lack of guidance or control on the part of the Company, there is a risk of a violation of the prohibition of torture or mutilation, inhumanity, degradation of character, or if there is a risk of endangering the safety of life or limb, or infringing on the freedom of association, in connection with the use of security forces.
3. Health and Safety
3.1 Environmental safety
(1) The Supplier shall provide a safe and healthy working environment, eliminate any working conditions that seriously endanger life safety or health, guard against any major fires or explosions, and guard against fatal accidents on the job site.
(2) Suppliers shall comply with applicable national or local environmental, health and safety laws and regulations, and continuously strive to improve environmental health and safety performance.
3.2 Working conditions
(1) Suppliers shall obtain, maintain and update all necessary health and safety permits and comply with the relevant provisions of these permits.
(2) Suppliers shall identify and assess possible OHS risks (including fire protection, industrial hygiene, physically demanding work, machine guarding, working at height and with electricity, etc.), eliminate or reduce the risks by eliminating hazards, substitution, engineering controls, preventive maintenance, and safe work processes (including lockout/tagout), and, if necessary, provide appropriate personal protective equipment or safety equipment. In addition, appropriate measures shall be taken to protect the safety and health of female workers, especially pregnant and breastfeeding female workers.
(3) Suppliers shall develop the necessary procedures and systems to prevent, manage, track and report work-related injuries and illnesses, and implement corrective measures to eliminate the effects and help employees return to work.
(4) Suppliers shall provide appropriate health and safety training to employees using local languages and post health and safety related information in the workplace.
3.3 Living conditions
The supplier shall provide a safe and healthy working environment: if staff accommodation is provided by the company, it shall ensure that the living space is safe and healthy, including suitable lighting, temperature, ventilation and toilet facilities.
3.4 Emergency Preparedness
Suppliers shall identify and assess possible emergencies and contingencies, including but not limited to fires, explosions, fatal accidents, mass poisoning, etc., and minimise the impact on people, the environment and property through the implementation of emergency response programmes and procedures for responding to them, including emergency reporting, on-site first aid, notification and evacuation procedures, regular training and drills, and recovery plans.
3.5 Safety Rules
Suppliers shall comply with the following safety rules, ensure that all employees are fully aware of and comply with them, and monitor their implementation:
(1) Working at height
- Never perform any work at height unless properly trained and qualified;
- Always wear appropriate personal protective equipment or safety equipment when working at height;
- Never walk or stand under a suspended load;
- Never throw tools or other objects when working at height.
(2) Driving operations (including forklift trucks, logistics, hazardous chemical transport, etc.)
- Vehicles that meet the requirements of laws and regulations and drivers with appropriate qualifications;
- Always wear a seat belt when driving or travelling in a vehicle;
- Never use a mobile phone while driving;
- Never drive over the speed limit;
- Never drive at excessive speed; never drive in fatigue.
(3) Fire and electric work
- Never carry out fire or electric work unless you have received appropriate training and qualifications.
(4) Alcohol or Drugs
- Never work while under the influence of alcohol or drugs.
- Environmental Standards
4.1 Environmental protection, biodiversity
Based on the precautionary principle, suppliers shall endeavour to reduce risks to people and the environment and to protect the natural resources on which food production is based. Suppliers' processes, production sites and production materials shall comply with applicable international and national legal requirements and environmental protection standards. Suppliers shall consider establishing an environmental management system applicable to the industry (e.g., ISO14001 environmental management system or a system of equivalent validity), establish and improve a green supply chain management system, and take appropriate measures to achieve the objectives of environmental management.
4.2 Animal Welfare
The development and formulation of appropriate principles of animal welfare, such as those regulating and managing farm animals, companion animals, laboratory animals, working animals, wildlife and recreational animals, should endeavour to provide for the ways in which animals can adapt to their environments and meet their basic natural needs. Promote and maintain nature's biodiversity.
4.3 Climate action, energy saving and emission reduction
Suppliers should continue to be actively involved in climate action, e.g. by improving energy efficiency, producing their own energy or procuring energy from renewable sources. At the same time, they should improve the transparency of carbon emissions and set challenging carbon reduction targets. Suppliers shall adopt conservation and substitution measures to reduce consumption of energy, water, and natural resources in order to reduce greenhouse gas emissions.
4.4 Water consumption and quality
Suppliers shall conserve water. Especially in water-scarce areas, water consumption must be minimised while providing drinking water and sanitation facilities. Wastewater quality standards shall be defined and tested within the framework of applicable legal and regulatory requirements.
4.5 Air and soil quality
As a minimum, the supplier shall comply with the relevant legal requirements as well as the requirements of the local authorities.
4.6 Material use and waste disposal, prevention of environmental pollution, noise emissions
Suppliers shall minimise the environmental impact of their business activities, use energy-efficient and environmentally friendly processes/equipment as much as possible, and use resources sparingly, reusing materials as much as possible. When disposing of waste, suppliers shall follow the principle of "produce less waste, recycle more, and dispose of what can't be used". Suppliers should at least comply with all applicable laws and regulations on pollutants (including wastewater, waste gas and solid waste), including relevant requirements on manufacturing, transport, storage, treatment and discharge, etc., to reduce or eliminate the generation and discharge of pollution at source, to prohibit the discharge of toxic and hazardous pollutants in violation of the law, and to prevent noise pollution, and to comply with the requirements of the relevant governmental regulations on the discharge of noise.
4.7 Environmental Permits and Reports
Suppliers shall obtain, maintain and update all required environmental permits (e.g. emission monitoring), approval instruments and registration certificates, and comply with their requirements on operation and reporting.
4.8 Product environmental requirements, substances of concern
Suppliers shall comply with all applicable laws and regulations and customer requirements regarding banned or restricted substances, such as RoHS, REACH, etc., and take effective measures to prohibit or restrict the use of specific substances in their products and/or manufacturing processes. Suppliers shall comply with material compliance rules, which include legal substance prohibition, restriction and declaration requirements, applicable standards, etc.
5. Business Relationship
5.1 Compliance with business ethics, honesty and integrity
(1) Suppliers shall eliminate the occurrence of corruption, fraud and dishonesty, and do not associate, bribe, conflict of interest, transfer of benefits, substandard work, jerry-building, falsification, commercial fraud, and keep their promises.
(2) Suppliers shall refrain from engaging in unfair competitive practices and oppose unfair competition.
Suppliers shall practice the highest standards of business ethics and shall not engage in behaviour that has a significant adverse impact on the reputation, goodwill or interests of Foryou Multimedia Electronics Co., Ltd.
(3) Financial responsibility, to record, calculate and explain the implementation and completion of the enterprise's social responsibility. It is determined by the enterprise's social responsibility, the basic content includes:
-In terms of the units and individuals with whom it has economic in, the enterprise has the responsibility to keep its word and fulfil the terms of the contract.
-In terms of potential investors and right holders, enterprises have the responsibility to provide them with straight and credible financial reports in an unbiased manner.
(4) To be honest, they should at least comply with relevant policies and laws, and should not use counterfeit raw materials and components, and fraudulent behaviour is strictly prohibited.
5.2 Intellectual Property Rights
Suppliers shall respect intellectual property rights and shall transfer technology, experience, knowledge or information in a manner that protects intellectual property rights, and shall protect customer information.
5.3 Privacy
Suppliers shall be committed to protecting a reasonable expectation of privacy in the personal information of all business associates, including suppliers, customers, consumers and employees. Suppliers shall comply with privacy and information security laws and regulatory requirements when collecting, storing, processing, transferring and sharing personal information.
5.4 Avoidance of Conflict of Interest
Suppliers shall avoid situations that may create a conflict of interest with Foryou Multimedia Electronics Co., Ltd. and prevent the professional judgement, performance of duties or decision-making ability of Foryou Multimedia Electronics Co., Ltd. or the supplier's employees from being influenced by other factors such as personal interests. When there is an actual conflict of interest, or when the supplier is aware of a potential conflict of interest, the supplier shall take internal measures to eliminate these conflicts and immediately notify Foryou Multimedia Electronics Co., Ltd.
5.5 Free Competition
Suppliers are obliged to observe the rules of fair competition and comply with the respective applicable legal provisions. They shall also refrain from entering into monopoly agreements or engaging in intentional or accidental concerted behaviour aimed at circumventing, restricting or distorting competition as defined by the monopoly law, or abusing a dominant market position.
5.6 Anti-corruption, honesty and integrity
(1) Suppliers shall comply with applicable anti-corruption laws. Ltd. to ensure that they shall not offer, promise or give inappropriate benefits to employees of Foryou Multimedia Electronics Co., Ltd. through their employees, subcontractors or agents for the purpose of obtaining orders or other favourable treatment in the course of their business dealings with Foryou Multimedia Electronics Co., Ltd. This principle also applies to agreements with other third parties in connection with Foryou Multimedia Electronics Co., Ltd.
(2) Suppliers shall eliminate the occurrence of corruption, malpractice and dishonesty, so as not to be associated, not to pay bribes, not to have conflict of interest, not to transfer benefits, not to substitute the best for the best, not to cut corners, not to make false statements, not to commit commercial fraud, and to keep their promises.
(3) Suppliers shall refrain from engaging in unfair competitive practices and oppose unfair competition.
5.7 Anti-Money Laundering
Suppliers shall comply with the legal requirements for anti-money laundering and properly fulfil their reporting obligations.
5.8 Conflict Minerals and Other Critical Materials, Responsible Sourcing of Minerals
Suppliers shall conduct due diligence on relevant minerals and metals in their supply chain and the proceeds of their sales shall not be used to finance armed conflict. Suppliers shall commit to and take reasonable action to prevent the mining of and trade in metals such as tantalum, tin, tungsten, gold and cobalt contained in their products from contributing, directly or indirectly, to the fuelling of illegal armed conflict, or from supporting human rights abuses, environmental hazards, business ethics, or health and safety hazards. Suppliers are expected to conduct due diligence on the source and chain of custody of these minerals and provide information on the due diligence measures taken in accordance with regulations or customer requirements. For critical materials (including conflict minerals and other critical components and materials as defined by Foryou Multimedia Electronics Co., Ltd.), suppliers shall establish material management policies and procedures to ensure responsible sourcing and material traceability. Such policies and procedures should include material traceability, supplier management rules and due diligence. Foryou Multimedia Electronics Co., Ltd. endeavours to ensure that the supply chain of critical materials is transparent and traceable, and suppliers shall support and cooperate with this. Suppliers shall:
(1) Recognise and comply with Foryou Multimedia Electronics Co., Ltd.'s policy on critical materials (as may be amended from time to time).
(2) Provide relevant information as requested by Foryou Multimedia Electronics Co., Ltd. from time to time, including traceability, supplier, source information and relevant supplier compliance procedures for critical materials in products, components or raw materials provided by Foryou Multimedia Electronics Co., Ltd.
(3) Adopt such procedures relating to responsible sourcing and traceability of critical materials as Foryou Multimedia Electronics Co., Ltd. may require from time to time, including but not limited to, co-operating with self-assessment questionnaires and audits to the best of its ability. If the Supplier determines that critical materials contained in any products, components or raw materials supplied to Foryou Multimedia Electronics Co., Ltd. are from conflict-affected and high-risk areas, the Supplier shall immediately inform Foryou Multimedia Electronics Co., Ltd.
5.9 Data Protection and Data Security
The Supplier shall ensure the right to information self-determination, the protection of personal data and the security of all business information and personal data in all business processes in accordance with legal requirements and the data protection and information security laws in use.
5.10 Trade Secrets and Intellectual Property Protection
Foryou Multimedia Electronics Co., Ltd. may share secret information and intellectual property-related information with suppliers in the course of business activities. Suppliers shall comply with the confidentiality terms signed by both parties when dealing with Foryou Multimedia Electronics Co., Ltd.'s secret information and take appropriate measures to protect Foryou Multimedia Electronics Co., Ltd.'s secret information from improper disclosure, theft or abuse. Suppliers shall ensure that their daily operations do not infringe upon the trade secrets and intellectual property rights of others, and take appropriate measures to ensure that the business related to Foryou Multimedia Electronics Co., Ltd.
5.11 Customs and Export Control Regulations
Suppliers should comply with all relevant export control and trade sanction laws and regulations, and proactively share foreign trade related information to ensure supply chain security. Ltd. manages the import and export business with the "Customs Advanced Certification Enterprise Standard". Suppliers shall follow the "Customs Advanced Certification Enterprise Standard" to establish a supply chain security management system and implement internal control management, law-abiding compliance management and trade security management.
5.12 Reporting System
Suppliers, their employees or related parties are encouraged to report suspicious cases and violations of this Code of Conduct as a way to reduce the consequences of these violations as well as to avoid similar misconduct in the future. To this end, suppliers should set up their own reporting system or join the industry-wide system. Reporting to Foryou Multimedia Electronics Co., Ltd. can be done via email, telephone, etc. (information on specific reporting channels is attached). Suppliers shall inform their employees of the above reporting methods.
5.13 Diversification
Suppliers should have a diversification strategy, engaging in production and business activities and development strategies in areas outside the scope of the original dominant industry. The type of strategy can be classified as centralised diversification or concentric diversification to reduce the development risk. Promote the development of better and stronger enterprises.
6.Management System Requirements
6.1 Company commitment
Suppliers shall commit to comply with applicable laws and regulations, commit to meet customer requirements, commit to comply with the requirements of this guideline, and commit to continuous improvement. The supplier shall clearly designate a senior manager to be responsible for CSR, identify and control risks, conduct internal audits and management reviews on a regular basis, establish an internal assessment and accountability mechanism, and promote continuous improvement.
6.2 Risk Assessment and Risk Management
Suppliers identify CSR risks and possible impacts related to supplier operations in accordance with applicable laws and regulations and customer requirements (including the requirements of this guideline), and implement appropriate procedures and substantive control measures according to the relative importance of the risks in order to control and minimise the risks and eliminate the impacts.
6.3 Management of Upstream Suppliers
Suppliers shall incorporate the requirements of this guideline into the management of upstream suppliers as procurement requirements, including the requirement for upstream suppliers to sign a written commitment as a certification criterion for the selection of upstream suppliers, and to conduct regular audits to ensure continuous compliance and promote continuous improvement.
6.4 Audit and Management Review
Suppliers shall regularly audit their own factories and their upstream suppliers to ensure compliance with the law and the requirements of this Code. Top management of suppliers shall regularly review their own and upstream suppliers' social responsibility management systems to ensure their continued suitability, adequacy and effectiveness.
7. Compliance with the Code of Conduct
7.1 Review, Transmission and Continuity
It is required that all suppliers should establish appropriate mechanisms, such as through the development and publication of their own code of conduct and related policies and procedures, to ensure that their employees and related personnel fully understand and implement the provisions of this Code of Conduct. Foryou Multimedia Electronics Co., Ltd. reserves the right to review compliance with this Code of Conduct at its discretion. Suppliers shall actively co-operate with the requested compliance check. Foryou Multimedia Electronics Co., Ltd. will coordinate the scope, time and location of such inspections with its business partners in advance. The Supplier shall respond to enquiries and requests for information within a reasonable time and in the form required by the relevant data protection laws.
7.2 Remedial action
Breaches of obligations (in particular those relating to human rights or the environment) must cease immediately. If such cessation is not possible in the foreseeable future, the business partner should immediately prepare and implement a programme to cease or minimise the breach. The programme must contain a specific timetable. The programme of action shall be filed in writing to evaluate effectiveness. In the event of suspected violations, the supplier must immediately investigate them and inform Foryou Multimedia Electronics Co., Ltd. of the measures it has taken.
7.3 Consequences of non-compliance
Violation of the obligations under this Code of Conduct constitutes a breach of contract with Foryou Multimedia Electronics Co., Ltd. and substantial damage to the business relationship between Foryou Multimedia Electronics Co., Ltd. The supplier shall inform Foryou Multimedia Electronics Co., Ltd. within a reasonable period of time of the internal measures it has taken to prevent the occurrence of such violations. If the supplier fails to comply with these obligations, or takes appropriate improvement measures within a reasonable time, or if the violation is very serious, Foryou Multimedia Electronics Co., Ltd. may, depending on the circumstances, demand compensation for losses, a deadline for correction, etc.; and in serious cases, it may terminate the cooperation, including termination of the contract, cancellation of orders, etc.
8. Modification or change
Ltd. reserves the right to make reasonable modifications to this Code of Conduct in accordance with changes in laws, regulations and regulatory requirements, etc., and Foryou Multimedia Electronics Co., Ltd. will notify you separately.
